In this private placement, the Company has agreed to issue and sell to such institutional and accredited investors (i) 6,725,000 shares (the 'Shares') of the Company's common stock, $0.0001 par value per share (the 'Common Stock'), at a price of $8.00 per share, and (ii) pre-funded warrants to purchase 150,000 shares of Common Stock, at a price of $7.9999 per pre-funded warrant, which equals the per share price of $8.00 less the exercise price $0.0001 for such pre-funded warrant.
