According to yigoonet.com, Alibaba Health Information Technology ("Ali Health) will acquire 100% interest in Ali JK Nutritional Products Holding Limited ("Ali JK ZNS Ltd") for HK $8.075 billion. According to the announcement of Ali Health, it is going to issue 860.9 million consideration shares to the vendor.
Ali JK ZNS Ltd is a wholly-owned company controlled by Alibaba, which is also the major shareholder of Ali Health, currently holding 30.76% of its shares. After the deal, the stake Ali JK ZNS Ltd is holding will rise to 35.38%.
The acquisition includes products and services both on Tmall and Tmall International, including drugs, formula food for special medical use, and medical apparatus and instruments, adult supplies, health supplies, medical and health services, etc.
For the fiscal year ending March 31, 2019, the above businesses generated a total merchandise volume of about 9.575 billion yuan and had an annual active buyer base of about 35.8 million. By January 31, 2020, these businesses had more than 530 merchants authorized by Tmall and Taobao China to sell medical products and services on Tmall.com.
As the flagship platform of Alibaba Group's "Double H" (Health and Happiness) strategy, Ali Health entered the Hong Kong stock market in 2014 and has been accelerating business integration after 2016. At present, Ali Health mainly focuses on pharmaceutical e-commerce and new retail, Internet technology in medical, consumer medical, smart medical and other fields.
